Our terms and conditions are drafted in Dutch, which is the legally binding version (Article 24.3). An English summary is provided for convenience. For the full legal text, please refer to the Dutch version.
Article 1 - Definitions
These general terms define the relationship between MeerMetData B.V. ("Service Provider") and the Client. Key terms include: Offer (any quotation for Services), Services (converting business data into Dashboards via Microsoft Power BI and/or other systems), Dashboard (visual representation of business data), and Agreement (all obligations between Client and MeerMetData B.V.).
Article 2 - Applicability
These terms apply to every offer, agreement, and service by MeerMetData B.V. Deviations are only possible if explicitly agreed upon in writing. The Client's own terms are expressly excluded.
Article 3 - The Offer
All offers by MeerMetData B.V. are non-binding unless explicitly stated otherwise. MeerMetData B.V. is only bound by an offer if accepted in writing within 30 days. Delivery times are indicative.
Article 4 - Formation of the Agreement
The Agreement is established when the Client accepts an offer by returning a signed copy or giving explicit approval by email. If the Client cancels a confirmed agreement, actual costs incurred will be charged.
Article 5 - Duration
The Agreement is entered into for a definite period unless the nature of the assignment requires otherwise. Both parties may terminate in case of attributable failure, after written notice and a reasonable period for compliance.
Article 6 - Execution
MeerMetData B.V. will execute the Agreement with the greatest possible care, based on a best-efforts obligation. MeerMetData B.V. may engage third parties. The Client is responsible for providing a Microsoft Power BI license and other required software.
Article 7 - Client Obligations
The Client must provide all requested information timely and in the required format. MeerMetData B.V. is not obligated to verify the accuracy of provided information.
Articles 8-10 - Advice, Dashboard Creation & Delivery
All advice is non-binding. Dashboards are built according to written specifications. The Client receives a non-exclusive, non-transferable right to use the Dashboard after full payment. Delivery is accepted after 7 calendar days of inspection, or earlier upon explicit approval.
Articles 11-13 - Risk, Warranties & Additional Work
Risk transfers upon delivery. MeerMetData B.V. does not guarantee error-free operation. The Dashboard is accepted "as is" unless otherwise agreed. Additional work beyond the original scope will be charged at the agreed rate.
Article 14 - Prices
All prices are exclusive of VAT. MeerMetData B.V. may adjust prices annually in accordance with inflation.
Article 15 - Collection Policy
All payment terms are strict deadlines. In case of default, statutory (commercial) interest and collection costs apply.
Articles 16-18 - Privacy, Suspension & Force Majeure
MeerMetData B.V. handles personal data carefully in accordance with applicable regulations. MeerMetData B.V. may suspend services if the Client fails to meet payment obligations. Neither party is liable in case of force majeure.
Article 19 - Limitation of Liability
Liability is limited to the total amount invoiced under the Agreement, and only for direct damages. Indirect damages, consequential damages, lost profits, and similar are expressly excluded. All claims expire one year after termination of the Agreement.
Articles 20-21 - Confidentiality & Intellectual Property
Both parties are bound by confidentiality. All intellectual property rights remain with MeerMetData B.V. unless explicitly agreed otherwise. Breach of confidentiality or IP rights results in a penalty of €10,000 plus €500 per day of continued infringement.
Articles 22-24 - Indemnification, Complaints & Applicable Law
The Client indemnifies MeerMetData B.V. against third-party claims. Complaints must be reported within 7 calendar days. Dutch law applies. Disputes are settled by the court in The Hague.
